Resumo: O presente estudo analisa a linha tênue que separa o planejamento sucessório legítimo, por meio da instituição de holdings familiares, entre a utilização para fraudar a legítima dos herdeiros necessários. A pesquisa investiga o conflito entre a liberdade de organização patrimonial, assegurada pelo Código Civil, e as normas de ordem pública que protegem a herança, examinando como o ordenamento jurídico e os tribunais coíbem o desvio de finalidade da pessoa jurídica. Por meio de uma metodologia dogmática, com análise de doutrinas e jurisprudência, avalia-se em que medida a constituição de uma holding sem a inclusão de todos os herdeiros necessários pode ser considerada válida, ponderando o elemento subjetivo da boa-fé e os critérios judiciais para identificar a simulação e o abuso de direito. Conclui-se que, embora a holding seja um instrumento lícito, sua validade está condicionada ao respeito à legítima, cabendo ao Poder Judiciário reprimir o abuso por meio de institutos como a nulidade de atos fraudulentos, a fim de equilibrar a autonomia patrimonial e a proteção familiar.
ABSTRACT: This study analyzes the fine line that separates legitimate estate planning, through the establishment of family holding companies, from its use to defraud the legitimate share of necessary heirs. The research investigates the conflict between the freedom of asset organization, guaranteed by the Civil Code, and the public policy norms that protect inheritance, examining how the legal system and the courts curb the misuse of the legal entity. Through a dogmatic methodology, with analysis of doctrines and jurisprudence, it assesses to what extent the constitution of a holding company without the inclusion of all necessary heirs can be considered valid, weighing the subjective element of good faith and the judicial criteria for identifying simulation and abuse of rights. It concludes that, although the holding company is a lawful instrument, its validity is conditional upon respect for the legitimate share, and it is up to the Judiciary to repress abuse through legal mechanisms such as the nullity of fraudulent acts, in order to balance patrimonial autonomy and family protection.
